Terms of Service
In short
We provide the marketplace. We do not lend, invest, advise, or take a cut of your deal. You stay anonymous until you choose otherwise. Break the rules — especially around confidentiality — and we will remove you.

1. What The Big Help is — and is not
The Big Help is operated by The Big Help Capital Pty Ltd (ACN 700 573 646), a company registered in Australia. In these terms, “we”, “us” and “The Big Help” mean that company.
The Big Help operates a confidential marketplace. Verified businesses publish anonymous funding opportunities. Capital providers can discover anonymous listings. Provider verification is required before access can be approved, and the business’s identity and information are released only where the business agrees.
We provide marketplace infrastructure only. We do not:
- lend money or provide any form of credit;
- invest, or arrange investments;
- recommend any opportunity, business or capital provider;
- advise on whether a transaction is suitable for you;
- negotiate, broker, or take a commission on any transaction;
- verify the commercial merits or accuracy of anything a member publishes.
Nothing on this platform is financial product advice. You must make your own enquiries and obtain your own professional advice before entering any transaction.
2. Who can use it
Businesses must be registered in a jurisdiction we support and must pass business verification. Capital providers must complete our provider verification requirements, including entity and eligibility checks, and evidence their investor classification under the law of their jurisdiction. We may decline or revoke any account at our discretion.
3. Confidentiality — the core obligation
Confidentiality is the point of this platform. When a business reveals its identity or shares documents with you, it does so under a non-disclosure agreement (NDA) you have signed.
- You must not disclose a business’s identity, documents, or the content of your conversations to anyone outside the permitted purpose.
- PDFs and images you download are watermarked with your name, email, IP address and the time — a leaked page identifies who leaked it. Spreadsheets, Word documents and CSV files cannot carry a watermark; every view and download of them is logged instead.
- Breaching a signed NDA may expose you to legal action by the business, and will result in permanent removal from the platform.
4. What you publish
You are responsible for everything you publish. You must not publish anything false, misleading, unlawful, or that identifies a business that has chosen to remain anonymous. We screen listings for identifying information, but that screen is an aid — not a guarantee, and not a substitute for your own care.
5. Conduct
Do not:
- misrepresent who you are, who you act for, or your investor classification;
- use the platform to solicit for services, or to harvest contacts;
- attempt to identify an anonymous business by any means;
- circumvent verification, blocking, or any security control;
- harass, threaten, or abuse any member or member of our staff.
6. Moderation and removal
We may remove listings, freeze conversations, redact messages, suspend accounts, or ban members. Every enforcement decision is recorded with a written reason. A suspension can be appealed, from the sign-in screen, and the appeal is decided and recorded. For any other enforcement decision there is no formal appeal: write to us and we will look at it again.
7. Fees, renewal, cancellation and refunds
Subscription fees are shown before you pay and are billed in advance. All prices are stated exclusive of GST; GST is added at checkout and a tax invoice is issued for every payment. We take no commission, success fee, or share of any transaction — our interests are not tied to whether your deal closes, which is what keeps us neutral.
Preparing is free. Going live is what you pay for.
Holding an account, drafting a listing, opening a data room, adding documents to it up to your preparation allowance, and inviting colleagues are free. That free preparation is available once per business — cancelling and starting again does not renew it.
Payment is required when you take a transaction live: publishing a listing to the marketplace, or opening your data room to a capital provider. Being discovered, receiving access requests and messaging remain free once you are live. The current prices, and what each plan includes, are shown on Settings → Plans before you pay.
Automatic renewal
Subscriptions renew automatically — monthly plans each month, annual plans each year — at the price then published, until you cancel. You can cancel at any time from Settings → Billing → Manage billing. Cancelling stops the next renewal; it does not end the period you have already paid for, and you keep the full subscription until that period runs out.
For annual plans we will email you 14 days before each renewal, telling you the date and the amount, so an annual charge is never a surprise. Monthly plans do not receive this reminder.
Refunds
Subscription fees are billed in advance and are not refundable, except as set out here or as required by law. We do not refund part-months or part-years where you cancel mid-period, because you keep the service for the whole of the period you paid for.
Annual plans — 14 days. For annual subscriptions, you may request a refund within 14 days of purchase. The purchase date is the date of your first payment for that subscription, as shown on your invoice.
We may also refund at our discretion where we have got something wrong.
If a payment fails
If we can’t take payment, we email you and keep everything running for the rest of the period you have already paid for — we don’t cut anything off the moment a card is declined. We’ll remind you again seven days before that period ends, and once more on the last day.
After it ends, you cannot upload new documents or approve new capital providers until payment is back in place. Any capital provider already inside your data room keeps access for a further seven days, so a live transaction isn’t cut off without warning; we tell them the date without disclosing anything about your account. Everything resumes the moment payment succeeds.
Your documents if you stop paying
If your subscription ends or lapses, you will not be able to add further documents, but documents you have already stored remain available to you to read and to download. We do not withhold your own information to obtain payment.
Consumer guarantees
Nothing in these terms excludes, restricts or modifies any right, guarantee or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where a consumer guarantee applies and cannot be excluded, our liability is limited, at our option, to resupplying the service or paying the cost of having it resupplied. If the failure is major, you keep the rights the Australian Consumer Law gives you, including a refund.
8. Liability
We are not a party to any transaction between members. To the maximum extent permitted by law, we are not liable for losses arising from any transaction, any member’s conduct, or the accuracy of any information published on the platform. Nothing in these terms excludes rights you have under consumer law that cannot lawfully be excluded.
9. Ending your account
You may close your account at any time from Settings. We retain records we are legally required to keep — including the audit trail, NDA signatures and moderation history — after closure.
10. Changes
We may update these Terms from time to time. The current version and its effective date will be published here. If you keep using the platform after a change takes effect, you accept it.
11. Governing law
These terms are governed by the laws of Australia and the state or territory in which The Big Help operates, and you submit to the non-exclusive jurisdiction of the courts of that place. The exact jurisdiction will be confirmed on legal review.
